Welcome to Softech (operated by Softech Limited). By accessing our website, purchasing our services, or engaging with our digital growth agency, you agree to comply with and be bound by the following Terms & Conditions. Please read them carefully before using our services.


1. Agreement & Acceptance

By accessing this website or signing a service agreement with Softech / Softech Limited, you represent that you are at least 18 years of age and authorized to enter into binding legal agreements on behalf of yourself or your organization.

2. Services & Scope of Work

Softech provides digital marketing, search engine optimization (SEO), conversion rate optimization (CRO), custom web development, brand strategy, and media management. Specific deliverables, timelines, and milestones will be defined in individual project proposals or Master Services Agreements (MSAs) agreed upon between Softech and the client.

3. Payment Terms & Fees

  • Invoicing: Clients agree to pay all fees associated with agreed-upon project quotes or monthly retainers according to the payment schedules stated on invoices.
  • Late Payments: Accounts unpaid after 14 days past the due date may incur late fees or temporary suspension of ongoing services, campaigns, or access to deliverables.
  • Third-Party Costs: Ad platform budgets (Meta, Google, LinkedIn, etc.), domain fees, hosting, and stock asset licensing are billing responsibilities of the client unless explicitly bundled.

4. Intellectual Property Rights

Upon full settlement of all invoices and fees, all final custom graphics, web design codes, and strategic materials created specifically for the client belong to the client. Softech retains ownership of pre-existing intellectual property, proprietary tools, processes, framework code, and unapproved draft concepts.

Softech reserves the right to display completed project deliverables and non-confidential metrics within agency portfolio presentations and promotional case studies, unless otherwise specified in a Non-Disclosure Agreement (NDA).

5. Client Responsibilities

To ensure project success, clients agree to:

  • Provide timely access to account credentials, content assets, logos, and approvals.
  • Ensure all materials and information provided to Softech do not infringe upon any third-party intellectual property or copyright laws.
  • Review deliverables promptly within agreed feedback turnaround windows.

6. Limitation of Liability

To the maximum extent permitted by law, Softech Limited and Softech shall not be held liable for any indirect, incidental, consequential, or punitive damages (including loss of revenue, data, or search engine rankings) resulting from website downtime, third-party platform algorithm updates, or client-managed modifications.

7. Termination

Either party may terminate an ongoing retainer agreement by giving written notice as specified in the service contract (typically 30 days written notice). Outstanding balances for work completed prior to termination must be paid in full.

8. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with applicable laws without regard to conflict of law principles. Any legal proceedings arising under these terms shall be brought in the appropriate courts of competent jurisdiction.
